Terms and Conditions

  1. Kaizen MMA All classes practice sessions, promotion tests, contests, seminars, and any other such event will be conducted by trained instructors.  While reasonable care will be taken to prevent injuries and minimize accidents, due to the physical nature of Martial Arts training, members assume all risks associated with any and all events occurring in any Kaizen MMA locations or conducted at any other location under promotion of or led by any Kaizen MMA owner, staff,  representative, or assignee.  Buyer agrees to waive any and all claims for physical or mental injury or loss of life received while at an Kaizen MMA location or event and understands that Kaizen MMA will not be liable for any harm to the Buyer. 
  2. The Buyer agrees that he or she is aware that he or she will be engaging in physical exercise, including the use of equipment, training, testing, weapons and instruction, and injuries may occur.  The Buyer is voluntarily participating in these activities.  Kaizen MMA recommends that the Buyer consult with a physician before engaging in classes or any events.  Kaizen MMA and its staff are not liable for complications from any pre-existing health conditions and it is the Buyer's responsibility to notify Kaizen MMA of any adverse health condition before signing this contract.  The Buyer understands that Enshin Karate is not responsible for, nor will Enshin Karate provide, any oral or written evaluation of the Buyer's physical fitness level or health.  The Buyer agrees that he or she will not participate in any class with any medical condition, including open cuts, abrasions, sores, infections, maladies, or poor hygiene maintenance, that poses a direct threat to the health and safety of themselves or others, and agree they will use the facilities provided in accordance with all public health requirements.
  3. The Buyer hereby waives any claim for injury or loss of life that occurs during transportation to or from any Kaizen MMA event.  The Buyer understands that Kaizen MMA is not liable, under any circumstances, for transportation related incidents.
  4. The Buyer hereby waives any claim for loss or damage to any personal property located at any Kaizen MMA facility or under the supervision of any Kaizen MMA owner, staff, representative, or assignee, and understands that he or she releases Kaizen MMA of all liability for loss or damage. 
  5. The Buyer agrees to comply with any and all Rules and Regulations of Kaizen MMA, which include any written or oral rule issued by any staff member, at any time.  Any member who violates any posted, written, or oral Rule or Regulation understands that his or her membership may be cancelled without warning and no refunds will be issued.  The Buyer understands that no one shall practice free sparring, weapons techniques, or any self-defense until such practice has been approved by the instructors.
  6. The Buyer understands that in order to advance in rank, he or she must take promotional examination at least once per year.  Each promotional examination requires an additional fee which is NOT included into the tuition rate specified by this Contract.  The Buyer understands that the fees will vary from one examination to another and that such fees must be paid prior to an examination.  Likewise, the Buyer understands that he or she is required to purchase his or her own safety equipment which will be necessary for certain classes, including but not limited to sparring and all promotional examinations after the introductory level.  The Buyer understands that this requires additional fees which are not included into the tuition rates specified by this Contract.
  7. The Buyer understands that each Kaizen MMA location is independently owned and operated and hereby releases from all liability all other Kaizen MMA locations.  Further, the Buyer agrees that the owner of each Kaizen MMA is not financially liable for his or her staff and will not be held legally or financially responsible for any actions of his or her staff, representatives, or assignees.  The Buyer also releases any Kaizen MMA staff member, representative, or assignee from any and all individual personal liability.
  8. If the Buyer fails to follow any of the contract terms and/or conditions, or if the Buyer fails to pay any installments when due, the Buyer understands that he or she is in breach.  The Buyer has a right to cure breach in case of a failed payment by making the requisite payment in full within seven (7) days after the due date.  If the Buyer fails to make payment in full or violates any other part of this Contract, this Contract is rendered void by Kaizen MMA at will.  Acceptance of any payment after breach will not release the Buyer from any obligation under this agreement.  If Kaizen MMA permits acceleration of this Contract, the Buyer will be credited with the same rebate of unearned finance charges.  If Kaizen MMA voids this Contract for Buyer's violation of contract terms and/or conditions or for Buyer's failure to pay, the Buyer is immediately responsible for payment in full of the remaining contract and all obligations of Kaizen MMA under this Contract are removed.  Kaizen MMA reserves the right to pursue legal action against Buyer for breach of this Contract.  If Kaizen MMA pursues legal action to enforce this Contract, the Buyer shall be responsible for all costs incurred by Kaizen MMA, including but not limited to any attorney fees, court costs, and expenses incurred, in addition to the original unpaid remaining amount owed on the contract, the stated late fee, and an effective compounding Annual Percentage of Rate (APR) of 7% on any balance owed, calculated from the first missed payment date.
  9. A $20 fee or the maximum amount permitted by law (including cost and expenses incurred by Kaizen MMA in connection with the collection of any returned check or other item) will be charged for any returned check or item.  The Buyer shall be given a written receipt for any payment which is made in cash.
  10. PAYMENT PLAN: If the Buyers have selected AMS payment plan, they are authorizing Kaizen MMA, or its agents, or assignee, to make withdrawals from the account the Buyer has specified for membership fee transactions (until paid in full).  If the Buyer notifies Kaizen MMA that he or she chooses to pay the outstanding balance of their membership fee, Kaizen MMA will charge or withdraw from the Buyer's account the full amount of such balance.  If for any reason the Buyers do not continue to pay their membership fee through an AMS Payment plan, and this is agreed to by Kaizen MMA, then the Buyer thereby agrees to make his or her regular monthly payments until paid.  If Buyer fails to make his or her payment after leaving the AMS billing system, Kaizen MMA will have the right to process the payment through AMS again and withdraw the amount from buyer's credit card or bank account without providing notice to or requiring any additional approval from the Buyer.
  11. The Buyer may not repudiate this Contract, except by timely notice as seen in Terms, paragraph 1.   
  12. Other than in the event of a Kaizen MMA permitted cancellation, the Buyer will not be relieved of the obligation to make any payment in accordance with this Contract, and no deduction of any payment shall be made due to any absence or withdrawal of the Buyer from Kaizen MMA programs or due to the Buyer's failure to attend such program.  Payments are applied first to any past due obligations, then to fees or charges assessed, if any, and then in the order in which they are scheduled to be made.  Late charges will not be assessed if the only delinquency is attributed to a late charge assessed on a prior payment.
  13. Kaizen MMA reserves the right to relocate our facilities within ten (10) miles of the present location.  If relocation occurs, we will notify our members no less than thirty (30) days prior to moving.  Business relocation within ten (10) miles is not a cancellation of this agreement and will not excuse Buyer from his or her obligations under this Contract.  If Kaizen MMA relocates its facilities in excess of ten (10) miles from the existing facility, the Buyer will have the option to cancel this Contract without penalty.
  14. This Contract may be assigned by Kaizen MMA to a third party company or to another independent Kaizen MMA facility.  If this Contract is assigned, the Assignee will be entitled to exercise any and all rights and powers of Kaizen MMA as stated in this Contract and will be entitled to all release of liabilities as set forth in this Contract.  The Assignee will not be held to any additional obligation not explicitly stated in this Contract.  Memberships are not transferable or assignable by the Buyer unless expressly approved of in writing by Kaizen MMA.
  15. The Buyer's membership automatically will be renewed if he or she is on a membership plan of one month or more and the membership will renew for the same length as the initial contract term, unless written notice of cancellation is given to the applicable Kaizen MMA center no less than two weeks prior to expiration date by email or mail. 
  16. Except as prevented by an Act of God, war, strike, weather or any and all other causes beyond the reasonable control of Kaizen MMA, Kaizen MMA shall maintain its Martial Arts Facility during the terms of Buyer's membership.  Kaizen MMA reserves the right and privilege at any time to replace, alter, or change the staff roster at Kaizen MMA locations, to close its facilities or alter the schedule thereof, and to alter the privileges and rights granted to the Buyer herein to use the facility and the equipment.  Buyer understands that classes and equipment are available subject to demand and may be crowded at peak hours, or may be discontinued or rescheduled if demand fluctuates.  Class times and instructors are subject to change without any notice.
  17. This Contract will be governed by the laws of the Commonwealth of Virginia and Buyer hereby agrees that Virginia law will apply to any dispute arising under this Contract or to any legal action against Kaizen MMA or Kaizen MMA owners, staff, representatives, or assignees.  The Buyer agrees that the Circuit Court of Fairfax in the Commonwealth of Virginia will have exclusive jurisdiction of any dispute arising under this Contract or of any legal action involving Kaizen MMA or Kaizen MMA owners, staff, representatives, or assignees. 
  18. The Buyer agrees that any action brought against Kaizen MMA, any owners, staff, representatives, or assignees, arising under this Contract or for any tort shall be brought no later than one (1) year after the contract breach or tort. 
  19. This Contract is severable, and the finding that any sentence or provision is invalid does not invalidate any other part of this Contract, nor does it remove or affect any other rights or obligations set forth by this Contract.    
  20. The Buyer understands that Kaizen MMA can delay or refrain from enforcing any of its rights under this Contract without affecting any other rights or obligations under this Contract.  Kaizen MMA has full authority to waive, enforce, or extend deadlines at will without subrogating any other part of this Contract.
  21. For PARENTS OR GUARDIANS:  I understand that Kaizen MMA is NOT A DAY CARE.  Kaizen MMA is a Martial Arts school with the intent to teach the physical, mental, and emotional skills of the Martial Arts.  I acknowledge that Kaizen MMA is not responsible for the supervision and care of my child (ren) who is attending Kaizen MMA's after school program, summer camp, or any other program or event.  Kaizen MMA is operating under the "free to come and free to go" policy. 
  22. FREEZING THE MEMBERSHIP: The Buyer has the right to freeze his or her membership for one month upon written agreement from Kaizen MMA once per year.  In this case the Buyer will not be charged for that month and this Contract term will be extended for one month.  During the period that the contract is frozen, the Buyer's membership privileges are suspended. 
  23. AFTER SCHOOL PROGRAM: If enrolled in the after school program, the Buyer understands that the tuition is based on a monthly rate.  Regardless of the number of days in each month, there is no refund if the student misses a part of or the whole program due to illness, vacation or withdrawal.  The first day of September of each year is considered the first day of school and the billing cycle begins on the first day of each month even if schools are closed or there is a state or federally observed holiday.  The Buyer also understands that if the Buyer is on the month to month plan for the After School Program, notice of cancellation should be given two weeks prior to the payment due date in writing, or a penalty of $200.00 will apply to buyers' account.  The Buyer understands that there will be a late pick up fee of $10.00 per each ten (10) minute interval, with no exceptions.  The Buyer understands that all full day camps teacher work days and weekly camps (such as Winter or Spring Break) are available at additional cost and are not included in the After School Program fee.
  24. SUMMER CAMP: If enrolled in Summer Camp Program, Buyer understands that he or she will have to pay full amount for the weeks selected on Summer Camp Calendar, even in case of illness, vacation, or withdrawal.  Weekly summer camp fees are to reserve space for those particular weeks, and the Buyer agrees to pay even if the child does not attend the camp.
  25. PHOTOGRAPHS:  I hereby authorize Kaizen MMA and its owners, staff, representatives, and assignees to photograph me and/or my child (ren) and/or use our images and/or voice records without restriction and to utilize such photographs and/or voice transcriptions for any commercial purpose, including but not limited to the promotion and marketing of the school, and I agree that I shall not be entitled to receive any compensation whatsoever of any kind as a result of such use.  Any photograph or recording taken of me and/or my children is solely owned by Kaizen MMA and I hereby permanently relinquish any and all claims to the photographs and/or recordings.
  26. CANCELLATION: If the Buyer relocates their residence and work more than 25 miles from the Kaizen MMA facility and their existing residence and work (proof must be provided), his or her membership may be transferred to another Kaizen MMA facility, if possible, or may be cancelled, as set forth as follows:  the request for cancellation due to move must be made in writing and a cancellation fee of $200.00 will be applied.  In addition to a $200.00 cancellation fee, the Buyer agrees to pay back any difference that occurs between the shortened contract term rate per month and the discounted contract rate received for signing the lengthier contract, calculated for the number of months Buyer maintained this Contract.  Members may cancel this agreement without a cancellation fee if a physician provides written verification stating that the use of Kaizen MMA facilities and/or services would impair the member's health during the term of this Contract or has become impossible due to a chronic or permanent disability or health condition. 
  27. These Additional Terms and Conditions, along with the attached Contract, constitute the entire and exclusive agreement between the Buyer and Kaizen MMA.  Any promises, representations, understandings and/or agreements pertaining directly or indirectly to this Contract which are not contained herein, are hereby waived.  This Contract may only be modified in writing with the written acknowledgment and acceptance of both parties.  Verbal agreements are not binding, nor will verbal modifications of this Contract be valid.
